Terms & Conditions for Vendors

📜 Vendor Terms & Conditions – ThreeLeaf Learning Center

Effective Date: 14 August 2024
Applies to: All vendors listing or selling products via https://threeleaflearningcenter.com (“ThreeLeaf”)

1. Acceptance of Terms

By registering as a vendor and using the ThreeLeaf Learning Center Marketplace (“Platform”), you (“Vendor”) agree to comply with these Vendor Terms & Conditions (“Terms”). If you do not agree, you may not sell or list products on the Platform.

2. Eligibility

  • Vendors must be at least 18 years old and legally capable of entering into binding agreements.

  • Business registration (e.g., ACRA/UEN) may be required.

  • ThreeLeaf reserves the right to approve, reject, or suspend any vendor account at its sole discretion.

3. Vendor Obligations

As a Vendor, you agree to:

  • Provide accurate business information during onboarding

  • List only legal, safe, and accurately described products

  • Maintain sufficient stock levels for listed products

  • Set clear pricing, shipping terms, and return policies

  • Fulfill orders promptly and professionally

  • Handle all customer inquiries, complaints, refunds, and returns directly

  • Comply with all applicable laws, including Singapore’s Consumer Protection laws

4. Product Listings & Content

You must ensure that:

  • Product images and descriptions are accurate, original, and not misleading

  • Listings do not infringe on any third-party trademarks, copyrights, or patents

  • Items are safe for use, properly labeled, and not restricted/prohibited

  • Prices include any applicable taxes, duties, or handling fees

ThreeLeaf reserves the right to edit, hide, or remove any listings that do not meet quality or legal standards.

5. Use of Customer Data

You will receive customer data only for the purpose of fulfilling orders. You agree to:

  • Use data only for that transaction

  • Never use customer data for marketing or contact outside the platform

  • Not share customer data with any third parties

  • Delete customer data when no longer needed

  • Comply with the Singapore Personal Data Protection Act (PDPA)

Violation may result in termination and legal liability.

6. Commission & Payouts

  • ThreeLeaf charges a 10% commission per completed order (unless otherwise agreed).

  • Payments are made after order completion, based on the payout schedule shown in the Vendor Dashboard.

  • Vendors are responsible for bank transfer fees or processing charges (if any).

7. Refunds, Returns & Complaints

  • Vendors must clearly state their refund/return policy in each listing.

  • Vendors are solely responsible for handling refund requests, product issues, and return shipping.

  • If customers report unresolved complaints, ThreeLeaf may intervene as a neutral mediator, but is not obligated to resolve disputes.

  • Repeat customer complaints may result in penalties or account suspension.

8. Platform Access & Conduct

You agree to:

  • Maintain a professional presence and uphold customer service standards

  • Keep your login and dashboard credentials secure

  • Not misuse the platform for spam, illegal activity, or data scraping

  • Not solicit customers outside of ThreeLeaf’s platform

9. Intellectual Property

You retain ownership of your product content but grant ThreeLeaf a non-exclusive, royalty-free license to use your brand name, product images, and listings for platform marketing or promotional purposes.

10. Suspension & Termination

ThreeLeaf reserves the right to suspend or terminate your vendor account for any of the following:

  • Breach of these Terms

  • Violation of local laws or platform policies

  • Customer data misuse

  • Inactivity or poor performance

  • High complaint rate or repeated violations

Upon termination, your listings will be removed and any pending payouts will be withheld until all disputes are resolved.

11. Limitation of Liability

ThreeLeaf is not responsible for:

  • Loss of sales or revenue

  • Delivery failures or product disputes

  • Downtime or technical issues

  • Legal issues arising from your product listings or business operations

You agree to indemnify and hold harmless ThreeLeaf and its affiliates from any claim, demand, or loss arising out of your actions on the platform.

12. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

13. Amendments

ThreeLeaf reserves the right to amend these Terms at any time. Updates will be posted on the Vendor Dashboard or via email. Continued use of the platform after changes constitutes your acceptance of the revised Terms.
